Changes to this agreement

We may change these Terms at any time by posting revised Terms. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms. You are responsible for reviewing them periodically.

Use of the site

You may use the Site for lawful purposes only. You agree not to misuse the Site, attempt to disrupt or disable it, scrape it, submit malicious content, or use automated systems to abuse our contact form or otherwise interfere with the rights of others.

No professional advice

Content on the Site is provided for general informational purposes only. It does not constitute professional, legal, or technical advice. We attempt to keep information accurate and current, but it may occasionally be incomplete, inaccurate, or out of date. Any engagement for services is governed by a separate written agreement.

Proposals and engagements

Proposals, pricing, and timelines we provide are estimates and are valid only as stated in the proposal. A project begins only upon a signed agreement and any required deposit. Scope, payment, and deliverables are defined in that agreement, which controls in the event of any conflict with these Terms.

Intellectual property

Unless otherwise indicated, the Site and its content — including design, text, branding, logos, trademarks, and software — are owned by JEDI Technologies, LLC or its licensors and are protected by copyright, trademark, and other laws. You may not copy, reproduce, republish, distribute, or create derivative works from any portion of the Site without our prior written consent. Ownership of work product created during a client engagement is addressed in the applicable engagement agreement.

Availability of the site

We may, in our sole discretion, modify or discontinue the Site or any part of it, including any information or materials, without prior notice and without liability. The Site and our services may not be available in all geographic areas.

Third-party links and services

The Site may link to or include material from third-party websites or services we do not control, which may have their own terms and privacy policies. We are not responsible for their content or practices, and you are responsible for reviewing any applicable third-party terms.

We rely on third-party infrastructure and service providers to operate the Site and our services — including, for the Site, Vercel (hosting), Resend (email delivery), and Cloudflare (bot protection), and, for our client portal and admin services, additional providers for authentication, databases, payments, file/video storage, meetings, monitoring, and AI features. These providers process data subject to their own terms, and your use of the Site is also subject to those terms where applicable. The current list of data processors is described in our Privacy Policy.

Disclaimers

The Site is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Limitation of liability

To the maximum extent permitted by law, JEDI Technologies, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site. Our total liability relating to the Site is limited to the amount you paid, if any, to access it. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless JEDI Technologies, LLC from any claims, damages, or expenses arising out of your use of the Site or your violation of these Terms.

Termination

We may suspend or terminate your access to the Site at any time, in our sole discretion, including for conduct that violates these Terms.

Minors

The Site is not directed to children under 13, and we do not knowingly collect their information. If you believe a child has provided us information, please contact us through the contact form.

Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Florida. Where required, the parties will first attempt to resolve disputes in good faith before pursuing formal proceedings.

Severability and waiver

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later. No waiver is effective unless in writing.

Entire agreement

These Terms, together with any policies referenced here (including our Privacy Policy and Cookies Policy), constitute the entire agreement between you and JEDI Technologies, LLC regarding the Site.
